End User License Agreement (“EULA”)

This End User License Agreement (this “EULA”) is a legally binding agreement between you (the “User”) and LawCatch, Inc., dba BriefCatch (“LawCatch”), the owner of the BriefCatch and ClientCatch platforms and software (BriefCatch, ClientCatch and all other LawCatch products being referred to collectively as “LawCatch Products”). By installing or using any LawCatch Product, you acknowledge that you have read, understood, and agree to be bound by the terms of this EULA and the BriefCatch Master Services Agreement (the “Agreement”). If you do not agree with any of the terms herein or in the Agreement, do not download, install, or use any LawCatch Product. Any terms not defined in this EULA are as defined in the Agreement.
Effective Date
This EULA becomes effective on the date you download or use any LawCatch Product software, whether or not you install the software.
Grant of License
Subject to the terms of this EULA, LawCatch grants the User a non-exclusive, non-sublicensable, non-transferable license to use LawCatch Products during the Term specified in the Agreement on up to two (2) devices that the User personally owns or that are owned by the User’s employer and assigned for the User’s use. The User is prohibited from sharing any license keys with anyone else without express written permission from LawCatch.
Intended Use and Restrictions
The User agrees to use LawCatch Products solely for their intended purposes and as permitted under the Agreement and agrees not to use any LawCatch Product for any unlawful activity or engage in reverse engineering of any LawCatch Product software.
The User must ensure compliance with all laws in the User’s jurisdiction applicable to the User’s use of LawCatch Products. In particular, the User is responsible for ensuring that uploaded content does not infringe the intellectual property rights of any third party.
LawCatch Products are not intended for processing confidential or personal data; the User bears all risks related to data privacy and security. The User is solely responsible for the accuracy of third-party content or other input into any LawCatch Product.
Intellectual Property Rights
The User acknowledges and agrees that LawCatch Products and related software and documentation are provided under license, and not sold, to the User. The User does not acquire any ownership interest in any LawCatch Product under this Agreement, or any other rights thereto, other than to use the same in accordance with the license granted and subject to all terms, conditions, and restrictions under this EULA. LawCatch reserves and shall retain its entire right, title, and interest in and to LawCatch Products and all intellectual property rights arising out of or relating to LawCatch Products, except as expressly granted to the User in this EULA. The User shall use commercially reasonable efforts to safeguard LawCatch Products (including all copies thereof) from infringement, misappropriation, theft, misuse, or unauthorized access. The User shall promptly notify LawCatch if the User becomes aware of any infringement of LawCatch’s intellectual property rights in the LawCatch Products and fully cooperate with LawCatch in any legal action taken by LawCatch to enforce its intellectual property rights.
Termination
LawCatch reserves the right to revoke this license if it deems that the User has violated any terms of this EULA or the Agreement. Upon termination, the User must immediately uninstall all copies of LawCatch Products and cease using them.
Warranty Disclaimer
The LawCatch Products are provided “as is” without any warranties, whether express or implied, including any implied warranty of merchantability or fitness for a particular purpose. LawCatch does not warrant that any LawCatch Product will perform without error or that it will run without interruption.
LawCatch Products may use artificial intelligence (“AI”) to generate output, as further described in
LawCatch’s Artificial Intelligence Disclosure document. Like any product that uses AI to produce results, LawCatch Products are prone to making errors. We do not guarantee that any output provided by any LawCatch Product is correct, complete, or current. In using any LawCatch Product, you agree not to hold LawCatch liable for any loss or damage arising from any person’s use of, or reliance on, LawCatch Product output or on your adaptation or transformation of that output. All output should be reviewed prior to use in order to verify its accuracy and suitability for your intended use.
Neither LawCatch nor any of its subsidiaries is responsible for your input, for any LawCatch Product output, or for your communications based in whole or in part on that output, including, but not limited to, any offensive, inappropriate, or otherwise harmful content that a LawCatch Product might generate. We reserve the right to modify any LawCatch Product or any of its features at any time.
No Legal Advice
The User acknowledges and agrees that the User:
- shall not rely on any part of any LawCatch Product or its suggestions and outputs as legal advice, and
- shall not communicate or claim, to any third party or other person, that any part of any LawCatch Product or its suggestions and outputs are legal advice.
LawCatch Products may generate suggested text based on user input and in no way (i) provides legal advice nor (ii) creates an attorney-client relationship. ClientCatch in particular is intended to help generate draft client alerts, not legal documents. Your audience for any ClientCatch output should be advised to consult a qualified attorney for legal advice tailored to their circumstances, as ClientCatch’s output may not align with your audience’s particular needs or with evolving laws.
Governing Law
This EULA is governed by the laws of the Commonwealth of Virginia, without regard to its conflict of law principles.
